Calculator Assumptions
  1. It is assumed that common shareholders collectively hold 100% of the equity prior to the hypothetical equity financing and that no other equity has been issued or promised.
  2. This calculator assumes no option pool exists prior to financing and that any option pool established in connection with the round will be factored into the pre-money, meaning new investors will not be diluted by the addition of the pool.
  3. It is assumed that existing convertible notes will convert into the same type of security offered in the financing. Note conversion shares will be factored into the pre-money, resulting in no dilution to new investors. Conversion of the notes is based upon the better of the Valuation Cap or the Discount Percentage, whichever results in the most shares for noteholders.
  4. All references to currency are in USD.
